However, for a business to be established and operate in compliance with the law, individuals and organizations need to clearly understand the regulations relating to the conditions, documents and procedures for enterprise registration under current laws.<\/span><\/p>\n<h3 data-section-id=\"defqul\" data-start=\"534\" data-end=\"584\"><span style=\"font-size: 110%;\">1. Right to establish and manage an enterprise<\/span><\/h3>\n<p data-start=\"586\" data-end=\"623\"><span style=\"font-size: 110%;\"><strong data-start=\"586\" data-end=\"623\">Conditions regarding the subject:<\/strong><\/span><\/p>\n<p data-start=\"625\" data-end=\"1131\"><span style=\"font-size: 110%;\">The subject having the right to establish an enterprise must be an organization or individual with sufficient capacity and necessary conditions to take responsibility for the enterprise established by them. According to the provisions of the Law on Enterprises 2020 (as amended and supplemented in 2025), both individuals and organizations have the right to establish and manage enterprises in Vietnam, except for certain cases that are restricted or prohibited as stipulated in Article 17 of this Law.<\/span><\/p>\n<h3 data-section-id=\"eyhqhf\" data-start=\"1133\" data-end=\"1167\"><span style=\"font-size: 110%;\">2. Common types of enterprises<\/span><\/h3>\n<p data-start=\"1169\" data-end=\"1323\"><span style=\"font-size: 110%;\">Vietnamese law currently provides for various types of enterprises for individuals and organizations to choose from, including the following common types:<\/span><\/p>\n<ul data-start=\"1325\" data-end=\"1474\">\n<li data-section-id=\"i7yrdq\" data-start=\"1325\" data-end=\"1366\">\n<p data-start=\"1327\" data-end=\"1366\"><span style=\"font-size: 110%;\">One-member limited liability company;<\/span><\/p>\n<\/li>\n<li data-section-id=\"hrn7lf\" data-start=\"1367\" data-end=\"1410\">\n<p data-start=\"1369\" data-end=\"1410\"><span style=\"font-size: 110%;\">Multi-member limited liability company;<\/span><\/p>\n<\/li>\n<li data-section-id=\"j6cu82\" data-start=\"1411\" data-end=\"1435\">\n<p data-start=\"1413\" data-end=\"1435\"><span style=\"font-size: 110%;\">Joint stock company;<\/span><\/p>\n<\/li>\n<li data-section-id=\"o7mxb3\" data-start=\"1436\" data-end=\"1452\">\n<p data-start=\"1438\" data-end=\"1452\"><span style=\"font-size: 110%;\">Partnership;<\/span><\/p>\n<\/li>\n<li data-section-id=\"a381r2\" data-start=\"1453\" data-end=\"1474\">\n<p data-start=\"1455\" data-end=\"1474\"><span style=\"font-size: 110%;\">Private enterprise.<\/span><\/p>\n<\/li>\n<\/ul>\n<h3 data-section-id=\"1gl3c85\" data-start=\"1476\" data-end=\"1524\"><span style=\"font-size: 110%;\">3. Conditions for establishing an enterprise<\/span><\/h3>\n<p data-start=\"1526\" data-end=\"1665\"><span style=\"font-size: 110%;\">In order for an enterprise to be granted an Enterprise Registration Certificate, several basic conditions must be satisfied as follows:<\/span><\/p>\n<p data-start=\"1667\" data-end=\"1686\"><span style=\"font-size: 110%;\"><strong data-start=\"1667\" data-end=\"1686\">Enterprise name<\/strong><\/span><\/p>\n<p data-start=\"1688\" data-end=\"2019\"><span style=\"font-size: 110%;\">The enterprise name must not be identical to or confusingly similar to the name of an enterprise already registered in the National Enterprise Registration Database. The enterprise name must be written in Vietnamese, consist of at least two components, and may include numbers and symbols:<\/span><br data-start=\"1977\" data-end=\"1980\" \/><span style=\"font-size: 110%;\"><strong data-start=\"1980\" data-end=\"2019\">\u201cType of enterprise + Proper name.\u201d<\/strong><\/span><\/p>\n<p data-start=\"2021\" data-end=\"2044\"><span style=\"font-size: 110%;\"><strong data-start=\"2021\" data-end=\"2044\">Head office address<\/strong><\/span><\/p>\n<p data-start=\"2046\" data-end=\"2225\"><span style=\"font-size: 110%;\">The head office of the enterprise must be clearly located within the territory of Vietnam, with a specific address including house number, street, ward\/commune, and province\/city.<\/span><\/p>\n<p data-start=\"2227\" data-end=\"2638\"><span style=\"font-size: 110%;\">In cases where the head office location does not have a house number or street name, a confirmation letter from the local authority verifying the address without such details must be submitted together with the business registration dossier. If you wish to lease an address as an office in a building\/apartment, ensure that the building is permitted for commercial\/office use before signing the lease agreement.<\/span><\/p>\n<p data-start=\"2640\" data-end=\"2659\"><span style=\"font-size: 110%;\"><strong data-start=\"2640\" data-end=\"2659\">Charter capital<\/strong><\/span><\/p>\n<p data-start=\"2661\" data-end=\"2963\"><span style=\"font-size: 110%;\">Charter capital means the total value of assets contributed or committed to be contributed by company members or the company owner when establishing a limited liability company or partnership; or the total par value of shares sold or registered for subscription when establishing a joint stock company.<\/span><\/p>\n<p data-start=\"2965\" data-end=\"3292\"><span style=\"font-size: 110%;\"><strong data-start=\"2965\" data-end=\"3005\">Time limit for capital contribution:<\/strong><\/span><br data-start=\"3005\" data-end=\"3008\" \/><span style=\"font-size: 110%;\">The company owner\/company members\/shareholders must contribute capital to the company in full and with the correct type of assets as committed when registering the establishment of the enterprise within 90 days from the date of issuance of the Enterprise Registration Certificate.<\/span><\/p>\n<p data-start=\"3294\" data-end=\"3312\"><span style=\"font-size: 110%;\"><strong data-start=\"3294\" data-end=\"3312\">Business lines<\/strong><\/span><\/p>\n<p data-start=\"3314\" data-end=\"3748\"><span style=\"font-size: 110%;\">Enterprises have the right to conduct business in industries and professions that are not prohibited by law. For conditional business lines, the enterprise must satisfy the conditions prescribed by specialized laws. In cases involving foreign investors, the enterprise must meet the market access conditions applicable to conditional business lines as prescribed by law and maintain such conditions throughout its business operations.<\/span><\/p>\n<h3 data-section-id=\"eqwk1o\" data-start=\"3750\" data-end=\"3795\"><span style=\"font-size: 110%;\">5. Procedures for enterprise registration<\/span><\/h3>\n<p data-start=\"3797\" data-end=\"3878\"><span style=\"font-size: 110%;\">The process of establishing an enterprise generally includes the following steps:<\/span><\/p>\n<p data-start=\"3880\" data-end=\"4128\"><span style=\"font-size: 110%;\"><strong data-start=\"3880\" data-end=\"3891\">Step 1:<\/strong> Prepare the enterprise registration dossier in accordance with the Law on Enterprises 2020 (as amended and supplemented in 2025), Decree 168\/2025\/ND-CP, and Circular 68\/2025\/TT-BTC (corresponding to the selected type of enterprise).<\/span><\/p>\n<p data-start=\"4130\" data-end=\"4279\"><span style=\"font-size: 110%;\"><strong data-start=\"4130\" data-end=\"4141\">Step 2:<\/strong> Submit the dossier to the Business Registration Office under the Department of Finance where the enterprise\u2019s head office is located.<\/span><\/p>\n<p data-start=\"4281\" data-end=\"4406\"><span style=\"font-size: 110%;\"><strong data-start=\"4281\" data-end=\"4292\">Step 3:<\/strong> Receive the Enterprise Registration Certificate if the dossier is valid (usually within 03 working days).<\/span><\/p>\n<p data-start=\"4408\" data-end=\"4468\"><span style=\"font-size: 110%;\"><strong data-start=\"4408\" data-end=\"4419\">Step 4:<\/strong> Carry out post-establishment procedures such as:<\/span><\/p>\n<ul data-start=\"4470\" data-end=\"4595\">\n<li data-section-id=\"17ayyb1\" data-start=\"4470\" data-end=\"4504\">\n<p data-start=\"4472\" data-end=\"4504\"><span style=\"font-size: 110%;\">Engraving the enterprise seal;<\/span><\/p>\n<\/li>\n<li data-section-id=\"47qz7l\" data-start=\"4505\" data-end=\"4532\">\n<p data-start=\"4507\" data-end=\"4532\"><span style=\"font-size: 110%;\">Opening a bank account;<\/span><\/p>\n<\/li>\n<li data-section-id=\"10fafbc\" data-start=\"4533\" data-end=\"4595\">\n<p data-start=\"4535\" data-end=\"4595\"><span style=\"font-size: 110%;\">Tax registration and fulfillment of initial tax obligations.<\/span><\/p>\n<\/li>\n<\/ul>\n<h3 data-section-id=\"qhxeos\" data-start=\"4597\" data-end=\"4642\"><span style=\"font-size: 110%;\">6. Notes after establishing an enterprise<\/span><\/h3>\n<p data-start=\"4644\" data-end=\"4769\"><span style=\"font-size: 110%;\">After being granted the Enterprise Registration Certificate, the enterprise should note several legal obligations, including:<\/span><\/p>\n<ul data-start=\"4771\" data-end=\"5056\">\n<li data-section-id=\"m608gn\" data-start=\"4771\" data-end=\"4837\">\n<p data-start=\"4773\" data-end=\"4837\"><span style=\"font-size: 110%;\">Contributing charter capital within the prescribed time limit;<\/span><\/p>\n<\/li>\n<li data-section-id=\"qg0trl\" data-start=\"4838\" data-end=\"4896\">\n<p data-start=\"4840\" data-end=\"4896\"><span style=\"font-size: 110%;\">Complying with accounting regimes and tax obligations;<\/span><\/p>\n<\/li>\n<li data-section-id=\"1ya5ga\" data-start=\"4897\" data-end=\"4989\">\n<p data-start=\"4899\" data-end=\"4989\"><span style=\"font-size: 110%;\">Registering or notifying changes to enterprise registration information when they arise;<\/span><\/p>\n<\/li>\n<li data-section-id=\"owqge1\" data-start=\"4990\" data-end=\"5056\">\n<p data-start=\"4992\" data-end=\"5056\"><span style=\"font-size: 110%;\">Complying with legal regulations relevant to its business lines.<\/span><\/p>\n<\/li>\n<\/ul>\n<p data-start=\"5058\" data-end=\"5207\"><span style=\"font-size: 110%;\">This document is for reference purposes only and does not constitute legal advice for any specific case.
