CARRY OUT THE CONVERSION OF BUSINESS TYPE – ESTABLISHMENT OF A BRANCH

Matter In Brief:

Ms. M is the proprietor of a business household engaged in the sale of cosmetics, with its principal place of business located in H District, T Province. To expand her business operations, Ms. M wishes to convert her business into M One-member Limited Liability Company, with the primary business activity of selling cosmetics. Concurrently, she intends to establish two branches of the Company, one in G District (Branch 1) and the other in T District (Branch 2).

Client’s Request:

Having been informed of TAPHALAW’s extensive experience in providing advisory services and undertaking procedures related to corporate matters, Ms. M has entered into a legal services agreement with TAPHALAW. Under this agreement, Ms. M has requested that TAPHALAW provide advice and carry out the necessary procedures for the conversion of her business entity and the establishment of the aforementioned branches.

Attorney’s Work Performed:

1. Legal Research and Document Preparation: The attorney conducted a thorough research on relevant legal regulations and compiled a comprehensive guide on the procedures and documentation required for converting a business household into a one-member limited liability company. The attorney then communicated with Ms. M to request necessary information and documents for preparing the documents.

2. Document Drafting and Submission: Based on the client’s information, the attorney drafted the documents for converting the business household into a one-member limited liability company in accordance with the law. Upon completion, the attorney compiled all necessary documents and submitted them to the Business Registration Office in Province T.

3. Branch Establishment: Based on the client’s information, the attorney drafted the documents for establishing branches in District G (Branch 1) and District T (Branch 2) of Company M. Upon completion, the attorney compiled all necessary documents and submitted them to the Business Registration Office in Province T.

4. Legal Advice: The attorney provided Ms. M with legal advice on matters related to the operation of the business after the conversion and establishment of the branches, including initial tax declarations and other procedures.

Outcome:

On September 18, 2024, as per the agreed-upon timeline in the Legal Service Agreement between Ms. M and TAPHALAW, the Business Registration Office of Province T issued a Business Registration Certificate to M One-member Limited Liability Company. Subsequently, the Tax Sub-department of District H and the Finance-Planning Office of District H issued notices terminating the tax code and business operations of the M business household. On September 30, 2024, the Business Registration Office of Province T issued Certificates of Registration of Branch Operations in District G (Branch 1) and District T (Branch 2) of Company M.

Ms. M, continuing to trust TAPHALAW, subsequently executed an additional Legal Service Agreement, requesting TAPHALAW to provide consultancy and process the issuance of a Cosmetic Product Notification for Company M. TAPHALAW successfully completed the aforementioned procedure.
